Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Northstar Portal and related services (the “Service”) provided by Northstar College Athletic Recruiting (“Northstar,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

The Service is provided to Northstar staff, clients, and authorized parents by invitation. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date. Notify us immediately of any unauthorized use of your account.

You agree not to:

• use the Service in violation of any applicable law or regulation;
• access data or accounts that you are not authorized to access;
• interfere with or disrupt the integrity or performance of the Service;
• attempt to gain unauthorized access to the Service or its related systems;
• upload malicious code or use the Service to transmit unlawful, harassing, or infringing content; or
• reverse engineer or copy any part of the Service except as permitted by law.

The Service integrates with third-party services, including Google Calendar, Grain, Zoom, and Loom. Your use of those services is subject to their respective terms and privacy policies. When you connect a Google account, you authorize us to access and manage calendar data as described in our Privacy Policy. We are not responsible for the availability, accuracy, or practices of third-party services, and you may disconnect them at any time.

You retain ownership of the information and content you submit to the Service (“Content”). You grant Northstar a limited license to host, process, and use the Content solely to operate and provide the Service. You are responsible for ensuring you have the necessary rights and consents for any Content you submit, including information about minors.

The Service, including its software, design, and branding, is owned by Northstar and its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you, these Terms do not transfer any right, title, or interest in the Service to you.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, Northstar and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us, if any, for the Service in the twelve months preceding the claim.

You agree to indemnify and hold harmless Northstar and its affiliates from any claims, damages, liabilities, and expenses arising out of your use of the Service, your Content, or your violation of these Terms.

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if we believe you have violated these Terms. Upon termination, your right to use the Service will cease. Provisions that by their nature should survive termination will survive.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any disputes arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in California.

We may modify these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
